1. Introduction

Welcome to Caramelo Board. These Terms of Service ("Terms") govern your access to and use of the Caramelo Board application, website, and services (collectively, the "Service") operated by Codevantage s.r.o., a company registered in the Czech Republic ("we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

Caramelo Board is a collaborative kanban board application that helps teams and individuals organize their work. The Service allows you to create workspaces, boards, lists, and cards to manage tasks and projects.

We offer both free and paid subscription plans. The features available to you depend on your subscription tier. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

To use the Service, you must:

  • Be at least 16 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized access to your account.

4. Acceptable Use

You may use the Service for any lawful business or personal purpose. However, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to send spam or unsolicited communications
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated tools to scrape, crawl, or collect data from the Service without permission
  • Resell or redistribute the Service without our written consent
  • Use the Service to harass, abuse, or harm others

We reserve the right to suspend or terminate accounts that violate these terms or engage in activities that we determine, in our sole discretion, to be harmful to the Service or other users.

5. Content Ownership and License

Your Content

You retain ownership of all content you create, upload, or share through the Service ("Your Content"), including workspaces, boards, lists, cards, comments, and attachments.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display Your Content solely for the purpose of operating and providing the Service to you and your authorized collaborators.

This license terminates when you delete Your Content or your account, except where Your Content has been shared with others who have not deleted it, or where retention is required for legal purposes.

Our Content

The Service, including its design, features, and underlying technology, is owned by Codevantage s.r.o. and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

6. Subscription and Payments

Free and Paid Plans

Caramelo Board offers a free tier with limited features and paid subscription plans with additional capabilities. The specific features of each plan are described on our pricing page and may change over time.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.

  • All prices are displayed in the currency shown at checkout and include applicable taxes where required
  • Subscriptions automatically renew unless cancelled before the renewal date
  • We may change our pricing with 30 days' notice; existing subscriptions will be honored until renewal

Refund Policy

We offer a satisfaction guarantee on paid subscriptions:

  • Monthly subscriptions: Full refund within 14 days of purchase, no questions asked
  • Annual subscriptions: Full refund within 30 days of purchase, no questions asked

To request a refund, contact us at support@carameloboard.com. Refunds are processed to the original payment method within 5-10 business days.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the free tier.

7. Service Availability

We strive to provide reliable access to the Service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.

We may temporarily suspend access to the Service for:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or security updates
  • Circumstances beyond our reasonable control

We are not liable for any downtime, data loss, or other issues arising from service interruptions.

8. Data and Backups

While we maintain regular backups of the Service, you are responsible for maintaining your own copies of important data. We recommend regularly exporting your data.

We are not responsible for any loss of data, regardless of cause. You agree to hold us harmless from any claims related to data loss.

9. Termination

Termination by You

You may terminate your account at any time by deleting it through your account settings or by contacting us. Upon termination, your data will be retained for 90 days before permanent deletion, as described in our Privacy Policy.

Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your use of the Service poses a security risk
  • We are required to do so by law
  • Your account has been inactive for an extended period

We will provide reasonable notice before termination when possible, except in cases of serious violations or legal requirements.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or 100 EUR, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Codevantage s.r.o., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through the courts of the Czech Republic. However, if you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you via email or through the Service at least 30 days before the changes take effect
  • Give you the opportunity to review the changes before they become binding

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Codevantage s.r.o. regarding your use of the Service and supersede any prior agreements or understandings.
